The Company has a plan to expand into the health and beauty business in the form of OEM* or Original equipment manufacturer/ODM** or Original Design manufacturer, which is a business operation by hiring to produce products in the health and beauty product group, including product design and marketing for the products.
The Company has a plan to increase capital to use the money to invest in the said business to increase opportunities and channels for generating income, including expanding the current business operations, which are in the public utility business, real estate business, and entertainment business.
However, since the fundraising plan did not go as planned, the Company has delayed investment in the health and beauty business group, but will continue to operate the original business as usual.
The company plans to organize the Rolling Loud Thailand 2024 concert, which will be held for the second year at Legend Siam Pattaya on November 22-24, 2024.
For the second quarter ended June 30, 2024, the Company's service income increased from the previous period by 10.83 million baht or an increase of 2,812.21 percent because the subsidiary organized a Korean concert during the period. Other income increased from the previous period by 3.38 million baht or an increase of 93.45 percent from the return received from the Grand Ratchada project.
The consolidated financial statements showed a net loss of 85.26 million baht, or a loss of 230.77 percent of total income. When compared to the previous period, the Company's net loss increased by 84.00 million baht or an increase of 6,667 percent due to
(1) Loss from organizing a Korean concert by a subsidiary
(2) Loss from the sale of other non-current financial assets
(3) Loss from adjusting the fair value of securities
The Company's main income from business operations totaled 29.95 million baht, consisting of: Revenue from the service segment was 11.21 million baht and revenue from the utility segment was 18.74 million baht, representing 37.44 percent and 62.56 percent, respectively, when compared to the financial statements of the previous period.
The Company's total revenue from all segments increased by 12.82 million baht or 74.88 percent from the entertainment segment, with revenue from organizing a Korean concert during the period of 10.83 million baht or 2,812.21 percent, and the utility segment increased by 2.00 million baht or 11.93 percent from the sale of tap water in Plaeng Daeng and Samet, which had increased water usage in April.
Other revenue from the consolidated financial statements for the second quarter ended June 30, 2024 was 7.00 million baht. When compared to the financial statements of the previous period, other revenue increased by 3.38 million baht or 93.45 percent, mostly from the return on investment of 2.50 million baht.
Due to the previous capital increase plan by issuing and offering additional common shares to existing shareholders (RO) in order to use some of the additional capital to pay for artist deposits and various expenses in the Rolling Loud Thailand 2024 concert project, Year 2, which will be held on November 22-24, 2024, Thai NVDR Co., Ltd. (NVDR), a subsidiary of the Stock Exchange of Thailand (SET), in which SET holds 99.99 percent of the registered and paid-up capital of the said company, attended the shareholders' meeting at that time and voted in the meeting, resulting in the capital reduction agenda not passing the resolution. As a result, the next agenda for the capital increase was not considered by shareholders at that time.
The Company is in the process of making an agreement between investors, in which the Company needs to sell its investment in HEALTH common shares to pay for expenses for the Rolling Loud Thailand 2024 concert project as planned instead of the money expected to be received from the capital increase.
