Business Plan

In 2025, the Company continues to focus on selling products through online channels, with the goal of becoming the "Thailand Social Commerce Leader." All channels have been integrated into MGI Shop to accommodate the increasing variety of products, as well as selecting products from external manufacturers to provide more choices for customers.

The Company also continues to expand its seller network and collaborations with business partners to create new market opportunities, while developing technology to collect and link customer data across business units to deliver a comprehensive experience.

Furthermore, the Company has acquired the rights to manage the Miss Universe Thailand pageant, which is a significant step in elevating the brand and strengthening its position in the beauty and entertainment industries. These rights drive growth across various business segments, including pageants, content, events, product sales, and partnership creation, to continuously expand the customer base and increase revenue.

The Company has a policy and goals for sustainable business operations, considering the impacts and fostering sustainability across three dimensions: economic, environmental, and social. Furthermore, the Company is committed to developing quality products and services for all stakeholder groups and adheres to the principles of good corporate governance.

Business Highlight

During the first nine months of 2025, the Company recorded total revenue of THB 654.23 million, representing a 25.85% increase year-on-year, driven mainly by service-related businesses following the acquisition of the Miss Universe Thailand organizing rights.

Despite pressure on product sales in the third quarter from intensified online competition and a slowing economy, overall performance for the nine-month period continued to grow, reflecting the strength of the Company’s business model and its ability to diversify revenue sources.

Business Performance Summary

For the first 9 months of 2025, the Company had a total revenue of 654.23 million baht, with revenue categorized as follows:

  1. Revenue from commercial business amounted to 205.20 million baht, a decrease of 13.98 percent from the first 9 months of 2024.
  2. Revenue from contest management amounted to 282.88 million baht, an increase of 189.18 percent from the first 9 months of 2024.
  3. Revenue from media and entertainment amounted to 56.73 million baht, a decrease of 4.25 percent from the first 9 months of 2024.
  4. Revenue from artist management amounted to 95.78 million baht, an increase of 4.75 percent from the first 9 months of 2024.
  5. Revenue from MGI Hall space rental services amounted to 7.05 million baht, a decrease of 68.46 percent from the first 9 months of 2024.
  6. Other service revenue and other income amounted to 6.59 million baht.

Furthermore, all of the Company's businesses generated a net profit of 136.00 million baht, representing a net profit margin of 20.79 percent.

Key Milestones
  1. 2024 Approved the issuance of warrants (MGI-W1) of up to 84 million units to existing shareholders (E-AGM on August 5, 2024; Record Date on July 9, 2024).
  2. April 1, 2024 Invested in 30 million shares of Sabuy Technology Public Company Limited, with a total value of THB 135 million, representing 1.70% of registered capital, using the Company’s working capital.
  3. 2024 Invested over THB 200 million in the construction of “MGI Headquarter” in Town in Town, officially opened on October 18, 2024.
  4. January 2, 2025 Established a subsidiary, The Grand Clinic Co., Ltd., with registered capital of THB 1 million, to operate a medical clinic business.
  5. Q1/2025 Invested THB 180 million to acquire the rights to organize the Miss Universe Thailand pageant for 2025–2029 and obtained the right to host the 74th Miss Universe competition in 2025 in Thailand.
  6. August 7, 2025 Established a subsidiary, MGI X Co., Ltd., with an investment of THB 5 million, to operate a technology business supporting the Soft Power industry.

Risk from Dependence on Major Shareholder and Key Executive

The Company relies on Mr. Nawat Itsaragrisil, the major shareholder and Chief Executive Officer, for its business operations. Any event affecting his ability to perform duties may adversely impact the Company’s operations and performance. To mitigate this risk, the Company has implemented a succession plan, strengthened the management team, and enhanced its organizational structure and operating systems to reduce reliance on any single individual.
